These Terms and Conditions govern your access to and use of PTI QCS’s website and applicable services. Certain authorized users may also interact with PTI QCS through the CRIS ERP platform.

Interpretation and Definitions

Interpretation

Words whose initial letters are capitalized have meanings defined below. These definitions have the same meaning whether they appear in singular or plural.

Definitions

For purposes of these Terms:

• Affiliate means an entity that controls, is controlled by, or is under common control with another entity.

• Company, PTI QCS, We, Us, or Our means PTI QCS, 18615 Sherwood Street, Detroit, MI 48234.

• CRIS ERP means the enterprise resource planning platform used by PTI QCS to provide authorized users with operational functionality and communications.

• Device means any device capable of accessing the Service, including a computer, mobile telephone, or tablet.

• Service means the Website and applicable PTI QCS services.

• Terms means these Terms and Conditions.

• Website means the PTI QCS website available at https://www.ptiqcs.com.

• You means the individual accessing or using the Service or an entity on whose behalf that individual accesses or uses the Service.

Use of Content

The Website and its content, including text, design, graphics, logos, icons, images, photographs, downloads, interfaces, code, software, products, features, tools, and associated intellectual property, excluding applicable third-party content, are owned by PTI QCS or its licensors.

Subject to these Terms, PTI QCS grants you a limited, non-transferable, non-sublicensable, non-exclusive, revocable right to access and use the Website and its content for lawful personal or business informational purposes as applicable to your authorized use.

Unless expressly authorized by PTI QCS, you may not modify, distribute, publish, license, reverse engineer, resell, or create derivative works from PTI QCS content.

You may not:

• Use hardware or software intended to damage or interfere with the Service.

• Attempt to improperly intercept systems, data, or Personal Data.

• Attempt to obtain unauthorized access to accounts, systems, or information.

• Interfere with or disrupt operation of the Website or Service.

• Use the Service in violation of applicable law.

PTI QCS may restrict or terminate access to the Website or Service when reasonably necessary to protect PTI QCS, its systems, users, or legal rights.

SMS Messaging Terms

PTI QCS may send transactional and operational SMS text messages through its CRIS ERP platform to individuals who have voluntarily provided their mobile telephone number and affirmatively consented to receive SMS communications.

Types of SMS Messages

Messages may include:

• Password reset codes

• Multi-factor authentication (MFA) codes

• Work order assignments

• Work order updates

• Shift schedules

• Schedule changes

• Maintenance notifications

• System alerts

• Other transactional or operational notifications associated with CRIS ERP or authorized PTI QCS services

These messages are transactional and operational in nature and are not intended for third-party marketing or promotional purposes.

SMS Consent

Providing a mobile telephone number alone does not automatically enroll you in PTI QCS SMS communications.

Where SMS consent is requested, you must affirmatively opt in to receive applicable SMS messages.

PTI QCS may obtain SMS consent during an offline, in-person physical onboarding process. During onboarding, an individual may be presented with a paper form containing a separate SMS disclosure and an unchecked checkbox or other affirmative consent mechanism.

The individual must affirmatively indicate agreement to receive SMS messages.

Consent to receive SMS communications is voluntary and is not a condition of employment, purchase, or use of PTI QCS services.

PTI QCS may maintain records of consent and opt-out requests as reasonably necessary to comply with applicable legal, regulatory, carrier, and industry requirements.

Message Frequency

Message frequency varies depending on your account activity, use of CRIS ERP, work assignments, scheduling activity, operational events, security activity, and other applicable use of PTI QCS services.

Message and Data Rates

Message and data rates may apply according to your mobile carrier and wireless service plan.

PTI QCS does not charge a separate fee merely for receiving its SMS communications, but your carrier’s standard messaging or data charges may apply.

SMS Opt-Out

You may opt out of SMS communications at any time by replying STOP to an SMS message.

After submitting an opt-out request, you may receive a final confirmation message confirming that you have been unsubscribed.

After your opt-out is processed, you will no longer receive applicable SMS messages unless you subsequently opt back in.

Rejoining the SMS Program

If you previously opted out and wish to receive SMS communications again, you may reply START where supported or complete the applicable opt-in process again.

Carrier Disclaimer

Wireless carriers are not responsible for delayed or undelivered messages.

Delivery of SMS messages is subject to effective transmission by your wireless carrier and is outside PTI QCS’s complete control.

SMS Privacy

Your participation in PTI QCS’s SMS messaging program is governed by our Privacy Notice:

Mobile phone numbers, SMS opt-in data, and SMS consent will not be shared with, sold to, rented to, or disclosed to third parties or affiliates for their marketing or promotional purposes.

PTI QCS may provide mobile information to service providers that perform services necessary to deliver or support SMS communications on our behalf, or where disclosure is required by law.

Such service providers are not authorized by PTI QCS to use SMS opt-in information for their own marketing or promotional purposes.

Acknowledgment

These Terms govern your use of the Website and applicable PTI QCS services.

Your access to and use of the Service is conditioned on compliance with these Terms.

By accessing or using the Service, you agree to these Terms to the extent applicable to your use of the Service.

If you do not agree with these Terms, you should discontinue use of the applicable Service.

Privacy

Your access to and use of the Service is also subject to our Privacy Notice.

The Privacy Notice describes our practices regarding collection, use, protection, retention, and disclosure of Personal Data and provides information regarding applicable privacy rights.

Termination

PTI QCS may terminate or suspend access to the Service when permitted by law, including when an individual violates these Terms, attempts unauthorized access, interferes with the Service, or creates security or legal risks.

Upon termination, your right to use the applicable Service will cease.

Limitation of Liability

To the maximum extent permitted by applicable law, PTI QCS and its suppliers will not be liable for special, incidental, indirect, punitive, or consequential damages arising from or relating to your use of or inability to use the Service.

This may include loss of profits, loss of data, business interruption, or similar losses, except where applicable law does not permit such limitations.

To the extent permitted by applicable law, PTI QCS’s aggregate liability arising under these Terms will be limited to the amount paid by you directly to PTI QCS for the applicable Service giving rise to the claim or $100 USD if no amount was paid.

Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, the applicable limitations will apply only to the maximum extent permitted by law.

“AS IS” and “AS AVAILABLE” Disclaimer

To the maximum extent permitted by applicable law, the Service is provided on an “AS IS” and “AS AVAILABLE” basis.

PTI QCS does not guarantee that the Service will always be available, uninterrupted, error-free, secure, or compatible with every device, system, or application.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable law.

Governing Law

These Terms and your use of the Service are governed by applicable laws of the State of Michigan and the United States, without regard to conflict-of-law principles, except where another jurisdiction’s mandatory laws apply.

Dispute Resolution

If you have a concern or dispute relating to the Service, you agree to first attempt to resolve the matter informally by contacting PTI QCS.

European Union Users

If you are a consumer located in the European Union, you may benefit from mandatory provisions of the law of the country in which you reside that cannot lawfully be waived by these Terms.

United States Legal Compliance

You represent that your use of the Service will comply with applicable United States laws and regulations.

You may not use the Service where doing so would violate applicable trade sanctions, export restrictions, or other applicable law.

Severability

If a provision of these Terms is determined to be invalid or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.

The remaining provisions will continue in effect.

Waiver

Failure by PTI QCS to enforce a provision of these Terms does not constitute a waiver of that provision or PTI QCS’s right to enforce it later.

Translation

If these Terms are translated into another language, the English version will control to the extent permitted by applicable law in the event of an inconsistency.

Changes to These Terms and Conditions

PTI QCS may modify these Terms from time to time.

When changes are made, we will post the revised Terms and update the “Last Updated” date.

Where required or appropriate, we may provide additional notice regarding material changes.

Continued use of the applicable Service following the effective date of revised Terms constitutes acceptance of those Terms to the extent permitted by applicable law.
